Terms of Service

These Terms of Service (the “Terms”) form a legally binding agreement between you and Proy Interactive Labs Ltd (“Proy Interactive Labs”, “we”, “us”, or “our”), a company incorporated in the United Kingdom, governing your access to and use of Umati and any related websites, applications, and services (collectively, the “Service”).

By accessing or using the Service — including by creating an account, joining a lobby as a guest, or otherwise participating in a game — you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Service.

1. Definitions

  • “Account” means a registered user profile created via email and password, a magic link, or a third-party sign-in provider such as Google or Discord.
  • “Guest” means a person who participates in a Lobby without completing full registered Account sign-up. A Guest may still be represented by a temporary anonymous account or session created by the Service for authentication, gameplay continuity, and account-linking purposes.
  • “Lobby” means a virtual room created through the Service in which one or more games are played among participants.
  • “Host” means the user who creates and administers a Lobby, including selecting games, configuring settings, and managing participants.
  • “User Content” means any text, names, answers, clues, drawings, messages, reactions, or other content that you submit, post, or transmit through the Service.
  • “You” or “User” means any person who accesses or uses the Service, whether as an Account holder or a Guest.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of 18 (or the age of legal majority in your jurisdiction), you may only use the Service with the involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf where required by applicable law.

By using the Service, you represent and warrant that: (a) you meet the age requirements above; (b) you have the legal capacity to enter into a binding agreement; and (c) your use of the Service does not violate any applicable law or regulation.

3. The Service

Umati provides browser-based tools for hosting and playing real-time, multiplayer party games with other people, whether they join as registered Account holders or as Guests. The specific games, features, and configuration options available may change over time, and we may add, remove, or modify features at our discretion, including features that are currently free of charge.

We do not guarantee that the Service will be available at all times, uninterrupted, or free of errors. See Section 13 (Disclaimers) below.

4. Accounts and registration

  • You may create an Account using an email address and password, a one-time magic link sent to your email, or by signing in through a supported third-party provider such as Google or Discord.
  • You agree to provide accurate and complete information when creating an Account and to keep that information up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us immediately at info@umati.games if you become aware of any unauthorised use of your Account.
  • You may not create an Account on behalf of another person without their permission, impersonate any person or entity, or create an Account using a name that is not your own without authorisation.
  • You may request deletion of your Account by contacting us at info@umati.games. If we later provide a self-service deletion feature, you may also use that feature. Deleting an Account does not automatically delete records we are required or permitted to retain, as described in our Privacy Policy.

5. Guest access

The Service allows people to join a Lobby as a Guest, without completing full registered Account sign-up, by providing a display name and, optionally, selecting an avatar or using an existing profile image. Guest participation is intended to be temporary and tied to a specific Lobby session, but the Service may create a temporary anonymous account or session to support authentication, gameplay continuity, and later account-linking. We are not responsible for verifying the identity of Guests, and Hosts are responsible for the conduct of Guests they invite into their Lobby, to the extent permitted by law. These Terms apply equally to Guests and Account holders.

6. Acceptable use

You agree that you will not, and will not attempt to, in connection with the Service:

  • harass, threaten, defame, stalk, abuse, or intimidate any other user, or post content that is unlawful, obscene, hateful, discriminatory, or that harasses or promotes violence against any individual or group;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • upload or transmit any content that infringes the intellectual property, privacy, or other rights of any third party, or that contains viruses, malware, or other harmful code;
  • solicit personal information from, or attempt to contact outside the Service, any user you reasonably believe to be a minor;
  • cheat, exploit bugs, use unauthorised third-party software, scripts, or automation (including bots), or otherwise manipulate scores, leaderboards, or game outcomes in a manner not intended by the design of the game;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent such restriction is prohibited by applicable law;
  • scrape, crawl, or use automated means to access the Service or collect data from it, except as permitted by our published APIs (if any) or with our prior written consent;
  • probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure, except as permitted under a responsible disclosure or bug bounty arrangement we have expressly authorised;
  • interfere with or disrupt the integrity or performance of the Service, including by overloading, flooding, or spamming any part of it; or
  • use the Service for any commercial purpose not expressly authorised by us, or in any way that violates applicable law.

We may investigate suspected violations of this Section and take any action we consider appropriate, including removing content, suspending or terminating access, and reporting conduct to law enforcement where warranted.

7. User content and licence

You retain ownership of any User Content you submit through the Service. By submitting User Content, you grant Proy Interactive Labs a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, transmit, display, and otherwise process that User Content solely as necessary to operate, provide, and improve the Service — for example, relaying your answers, drawings, or reactions to other participants in your Lobby in real time, and calculating and displaying scores and leaderboards. This licence ends when your User Content is deleted from the Service, except to the extent it has been shared with other users as part of normal gameplay or retained as permitted under our Privacy Policy.

You are solely responsible for the User Content you submit and for ensuring you have the right to submit it. We reserve the right, but do not assume any obligation, to review, moderate, or remove User Content that we reasonably believe violates these Terms or applicable law.

8. Intellectual property

The Service, including its software, design, graphics, game mechanics, trademarks, logos, and all other content provided by Proy Interactive Labs (excluding User Content), is owned by Proy Interactive Labs or our licensors and is protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, or create derivative works based on the Service.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial entertainment purposes.

9. Scores, achievements, and leaderboards

Any points, scores, rankings, achievements, or other in-game status displayed through the Service exist solely for entertainment purposes within the Service. They have no monetary value, cannot be exchanged for cash or any other consideration, and are not property. We may reset, adjust, or remove scores, achievements, or leaderboard entries at our discretion, including to correct errors or address suspected cheating.

10. Fees

The Service is currently provided free of charge. We may introduce paid features, subscriptions, or other charges in the future. If we do, we will provide reasonable notice and clearly identify which features require payment before you are charged. Continuing to use any free features of the Service will not obligate you to pay for anything.

11. Third-party services

The Service integrates with certain third-party services, including sign-in providers (such as Google and Discord), our transactional email provider, and hosting and analytics infrastructure providers. Your use of these third-party services may be subject to their own terms and privacy policies, and we are not responsible for their acts, omissions, availability, or content.

12. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, at any time and without prior notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us or another user, or for any other reason at our discretion, including discontinuing the Service or a feature of it. You may stop using the Service, or delete your Account, at any time.

Because Lobby and in-game data is held only temporarily (see our Privacy Policy), we are not responsible for any loss of in-progress game state, scores, or other Lobby data resulting from suspension, termination, technical failure, or the natural expiry of a Lobby.

Sections 8, 9, 14, 15, 16, and 17 of these Terms survive any termination of your access to the Service.

13. Disclaimers

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, timely, or error-free.

Nothing in these Terms excludes or limits any warranty implied by law that it would be unlawful to exclude or limit, including any rights you may have as a consumer under the laws of England and Wales or your country of residence.

14. Limitation of liability

Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under applicable law.

Subject to the paragraph above, and to the fullest extent permitted by applicable law: (i) Proy Interactive Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service; and (ii) our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (x) the total amount you have paid to us for the Service in the twelve months before the claim arose, or (y) fifty pounds sterling (£50).

These limitations apply regardless of the legal theory on which a claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

15. Indemnification

You agree to indemnify and hold harmless Proy Interactive Labs, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms, your User Content, or your misuse of the Service, except to the extent caused by our own negligence or wilful misconduct.

16. Governing law and dispute resolution

These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Before commencing any formal proceedings, we encourage you to contact us at info@umati.games so we can try to resolve the issue informally. If a dispute cannot be resolved informally, you and Proy Interactive Labs agree that the courts of England and Wales will have exclusive jurisdiction to settle it, except that if you are a consumer resident elsewhere, mandatory consumer-protection laws of your country of residence may entitle you to bring proceedings in your local courts, and nothing in these Terms limits any such mandatory right.

17. Changes to these terms

We may update these Terms from time to time to reflect changes to the Service or for legal, regulatory, or operational reasons. If we make material changes, we will notify you by updating the “Last updated” date above and, where appropriate, through the Service or by email. Your continued use of the Service after a change takes effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

18. General provisions

  • Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Proy Interactive Labs regarding the Service and supersede any prior agreements.
  • Severability. If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
  • Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or otherwise without restriction.
  • Force majeure. We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including internet or infrastructure outages, acts of god, or governmental action.
  • No partnership. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Proy Interactive Labs.
  • Notices. We may provide notices to you via the email address associated with your Account or by posting a notice on the Service. You may provide notices to us at the contact details in Section 19.
